Algowiz Technologies Private Limited, a private limited company incorporated under Indian laws (hereinafter referred to as "We"/ "Us"/ "Our") vide its web-based application "Fintarget" ("Platform") aims to solve the issues arising in relation to automation in trading ("Services") to its clients ("User"/ "You/you/Your/your"). Such Services shall be linked to and rendered vide Our Platform at https://fintarget.in / This document lists down and governs the terms and conditions ("Terms") with respect to the Services offered by Us. Please note that We reserve the right to revise these Terms at any point in time which shall be notified to You vide electronic communications and Your continued use of this Platform or Services thereafter shall mean that You have accepted those changes. If You do not agree with any of the Terms, You must not continue to use this Platform. We reserve the right, in our sole discretion, to determine if You have violated the Terms and to take any action it deems appropriate. You acknowledge that We shall have the right to terminate Your access to this Platform or Services for violations of any of these rules, including infringement of copyrights. YOU ACKNOWLEDGE AND AGREE THAT BY BROWSING OR USING THIS PLATFORM, YOU HAVE AGREED TO BE BOUND BY THESE TERMS AND CONDITIONS AND ANY ADDITIONAL TERMS THAT APPLY. 2. ACCESSING THIS PLATFORM

It is Your responsibility to ensure that You have made all necessary arrangements in order to access this Platform. We shall not be responsible for any telephone bills, internet charges or any other costs incurred by You in order to access this Platform. You are responsible for ensuring that all persons who access this Platform through Your internet connection are aware of these Terms and the other applicable terms and conditions/policies mentioned, and comply with them. By using this Platform, You represent and warrant that:

  • You are at least 18 years old;

  • You have the lawful authority and capacity to contract and be bound by these Terms;

  • If You are accepting these Terms on behalf of a company, limited liability partnership or other legal entity, You have the authority to bind such entity to these Terms and, in such event, "you" and "your" as used in these Terms shall refer to such entity; and

  • You will comply with all applicable laws and regulations. These Terms are subject to change at any time without notice. To make sure You are aware of any changes, please review these Terms periodically. Continued use of this Platform after any such changes shall constitute your consent to such changes.

3. USE OF SERVICES AND/OR THIS PLATFORM

We hereby grant you a limited, personal, non-exclusive, non-transferrable and non-sub licensable right to use this Platform, solely for your own personal, non-commercial use, subject to the Terms. Your access and use of this Platform shall be subject to the following representations and warranties: (a) You may only access this Platform using authorized and lawful means; (b) We shall not be liable for any failure or default to provide access to this Platform on account of any failure or delay by you to register with this Platform for such access or due to any other reasons whatsoever; Any configuration or set up of the devices for access to this Platform shall be Your sole responsibility. We collect, store, process, and use Your information in accordance with its Policy available at https://fintarget.in/ ("Privacy Policy"). By using this Platform and/or availing the Services, You will be required to provide Your Personal Information (as defined in the Privacy Policy). You will not take any action that interferes with, degrades or adversely affets Us and/or this Platform. You will not use this Platform in a manner that: (i) is prohibited by any law or regulation or facilitates the violation of any law or regulation; or (ii) will disrupt a third parties' similar use; (iii) will violate or tamper with the security of this Platform. You will not use this Platform, or any portion thereof, to transmit, publish, post, upload, distribute or disseminate any inappropriate, harassing, abusive, defamatory, libelous, obscene, illegal or deceptive content. You will not attempt to gain unauthorized access to any information connected to this Platform /Services, including but not limited to, names, addresses, phone numbers, or email addresses, copying copyrighted text, through hacking, or any other means, or obtain or attempt to obtain any materials or information through any means not intentionally made available to you.You shall be solely responsible for: (i) procuring and maintaining your network connections and telecommunications links, and (ii) all problems, conditions, delays, delivery failures and all other loss or damage arising from or relating to your network connections or telecommunications links or caused by the internet.

4. RISK DISCLOSURE STATEMENT

We accept requests from Users to code and deploy trading strategies. Code is the process to take input and exit conditions from Users, conditions for setting a stop loss and target, instrument, quantity of stocks, risk per trade etc. and form a trading strategy, hereafter referred to as "trading strategy" or "strategy" or "strategies". We strive to give you accurate information on your trading strategies and your strategies, however methodology covers the PROCESS AND ASSUMPTIONS THAT ARE MADE DURING CALCULATING THE RESULTS OF THE STRATEGY AND THE DATA SHOWN AFTER DEPLOYMENT. Using Our Services, including the deploy services, automated trading services, presents several different types of risk. We have summarized these below and You are solely liable to read and understand these risks before you use any of Our Services. The risks that can arise from using our Services is broadly classified as: (i) Risks inherent generally in using Internet-based technology; (ii) Risks inherent in creating and deploying trading strategies; and (iii) Risks inherent in engaging in live automation trading. ANY PERMUTATION OR COMBINATION OF THE OCCURRENCE OF THE POTENTIAL EVENTS THAT DEFINE THE RISKS DESCRIBED IN THIS DISCLOSURE STATEMENTS CAN LEAD TO A TOTAL OR PARTIAL LOSS OF OPERABILITY, RESPONSIVENESS, FUNCTIONALITY, AND FEATURES THAT COULD MATERIALLY AND ADVERSELY AFFECT YOUR USE OF PLATFORM.

5. RISKS IN CREATIONAND DEPLOYING STRATEGIES (STRATEGIES)

Creating and deploying computer-based trading strategies is subject to several risks, any of which can cause your strategies to not function as you had intended or fail to achieve one or more of the objectives of your strategies. Automation trading is rapidly changing as a practice and as an industry. Models of markets used to write and test trading strategies are inherently limited and often fail to perform as expected. In addition, trading strategies are implemented in software programming code, and no matter how well designed and thoroughly tested, any such code can have logical errors and bugs that cause the strategies to malfunction or suggest or trigger trades that, if executed, would result in losses. It is your obligation to thoroughly and appropriately test any automated systematic trading strategy before you deploy it and to continually monitor the operation of any deployed automated systematic trading strategy to ensure it is running properly and in compliance with any applicable rules a. Your automation trading strategy may be designed on the basis of an incorrect understanding of technical parameters or indicators which may not work as expected. b. Your automation trading strategy may contain logical errors in the way you understand the technical parameters or indicators. c. Errors may exist in the data used for testing your automation systematic trading strategy or the applicable model of the market. d. Your automation trading strategy might appear to succeed while using historical data, but fail when using live data. e. Your automation trading strategy might appear to succeed with some data sources, but fail when using other data sources in our system. f. Your automation trading strategy may not achieve the returns you anticipate. There are no guarantees, or even expectations, that can be made about the future behavior of an automation systematic trading strategy.

6. RISKS OF ENGAGING IN LIVE AUTOMATED SYSTEMATIC TRADING AND RELATED STRATEGIES

Our Services allow you to engage in live trading using the broker's API access given to you by the broker. Engaging in live trading subjects you to: (a) the risks associated with trading generally, and (b) the risks associated with live automated trading THE OCCURRENCE OF ANY OF THE EVENTS ASSOCIATED WITH THESE RISKS, ALONE OR IN COMBINATION WITH ANY OF THE OTHER RISKS DESCRIBED IN THIS DISCLOSURE STATEMENT, COULD RESULT IN THE LOSS OF ALL OF THE MONEY YOU HAVE DEPOSITED IN THE BROKERAGE ACCOUNT YOU USE FOR LIVE TRADING BASED ON THE STRATEGIES YOU WRITE, TEST, AND RUN ON OUR PLATFORM. LOSSES CAN HAPPEN MORE QUICKLY WHEN USING AUTOMATED TRADING THAN OTHER FORMS OF TRADING. YOU SHOULD DISCUSS WITH AN INVESTMENT PROFESSIONAL THE RISKS OF TRADING IN GENERAL AND AUTOMATED TRADING IN PARTICULAR. YOU USE ANY STRATEGY IN LIVE TRADING AT YOUR OWN RISK AND IT IS YOUR OBLIGATION TO THOROUGHLY AND APPROPRIATELY TEST ANY TRADING STRATEGY BEFORE YOU DEPLOY IT AND TO CONTINUALLY MONITOR THE OPERATION OF ANY DEPLOYED TRADING STRATEGY TO ENSURE IT IS RUNNING PROPERLY AND IN COMPLIANCE WITH ANY APPLICABLE RULES.

7. CERTAIN RISKS OF LIVE AUTOMATED TRADING

In addition to all of the risks described above, live automated trading is subject to the following types of types of risk:

i. Kindly take note that it is not possible for a computer model to truly predict what might have happened if an automated trading strategy was in play in a live trading environment. For example, the implementation of such a strategy can itself have an impact on the market, and the model may fail to account for real-life factors that impact the model. Moreover, the model may fail to account for execution costs including margins required in the trading account, broker commissions, fees, and trading slippage. A promising model result does not necessarily predict a successful strategy. Execution of an automated trading strategy and the performance of that code may prove to be impossible in a live trading environment. Changes in various market factors not foreseen in a model can change, causing a strategy to fail. Orders that were executed correctly in the past events/circumstances may be disallowed or rejected because of various reasons e.g.: margin requirement, illiquid securities etc. causing the automated strategy/code to fail or otherwise not perform as expected. Attempts to create, exit, or cancel orders might fail, or might result in unexpected outcomes. Moreover, your automated strategy/code might not handle market conditions that cannot be reasonably anticipated, i.e., a "flash crash" or an exchange outage. These market conditions, by definition, will not have been tested. ii. The relevant market might fail or behave unexpectedly. Markets in which you seeking to implement your trading strategy may fail or behave incorrectly because of technical reasons relating to infrastructure, connectivity, and similar factors. Your automated strategy/code might suffer from adverse market conditions. Those conditions can include lack of liquidity, and abrupt and unwarranted price swings. Also possible are late market openings, early market closings, market chaos, and mid-day trading pauses, and other such disruptive events. iii. Your broker may experience failures in its infrastructure, fail to execute your orders in a correct or timely fashion or reject your orders. This Platform's infrastructure on which you are running your automated strategy/code might fail. In addition, even if this Platform's infrastructure or your broker's infrastructure and API are working correctly, the orders may get rejected or triggered in error or by design, incorrectly execute orders, or induce errors through unexpected behaviour (such as returning messages out of sequence, incorrectly acknowledging orders, or posting incorrect execution reports). If at all, any losses arise from these risks, We do not bear any responsibility for this. iv. The system you use for generating trading orders, communicating those orders to your broker, and receiving queries and trading results from your broker may fail or not function in a correct or timely manner. Latency (i.e., delays) within and between your system, between our servers and the broker and the exchanges, as well as those of your broker and the exchanges in which you seeking to affect trades, might cause orders, modifications, and cancels to be placed or not placed in ways that are not desired. You may receive incorrect information, or be unable to get information, about your orders, your positions, or market conditions. Incorrect actions may be taken, or correct actions may not be taken, because of inaccurate or missing information. In addition, you may be unable to terminate, pause or modify parameters or instructions of your automated strategy/code. v. Time lag at various point in live trading might cause unexpected behaviour. The time lag between trade signal generation time, the time at which you receive the trade signal, and the time at which you or the automated strategy/code take action on the alert, can cause a delayed order placement in the market, lead to cancellations and cause you loss (or fail to gain profits) and may deliver unanticipated results vastly different from the historical results. vi. The systems of third parties in addition to those of the provider from which we obtain various services, your broker, and the applicable securities market may fail or malfunction. Automated trading using Our Services depends on the availability of various services from third parties in addition to your service provider and your broker. These, for example, include providers of data services, computational services, and network connectivity. The operations of these third parties are beyond all of our reasonable control. Regardless of the reason for any failure by your broker, the market in which you seek to have trades executed, or these other third parties, we will not have any liability for any such failure. Accurate and complete real-time price data is critical for the success of automated trading. The systems of these data providers could experience failures, errors, and latency, which could result in missing, incorrect, or stale market data. vii. Malicious and criminal activities might cause your strategy or strategies to fail, or your brokerage account to be compromised. All computers and networks are subject to malicious "hacking" attacks and criminal activities designed to misappropriate intellectual property, compromise personally identifiable information, steal funds, or any combination of such purposes. These attacks might be attacks on a target of opportunity or specifically targeted. Each of the various systems described above that are necessary for you to engage in live automated trading is subject to such attack. Any such attack could cause the system to function improperly or not function at all, and could result in the misappropriation of your intellectual property, the compromise of your personally identifiable information and personal financial information, the theft of your funds and can cause your strategy misbehave, malfunction or behave erratically.

8. INTELLECTUAL PROPERTY RIGHTS

The trademarks, service marks, and logos used and displayed by Us, in any manner on this Platform or in any of the content are Our registered or unregistered proprietary rights worldwide. Such propriety trademarks or logos belonging to Us are protected pursuant to applicable laws. All rights are reserved and you may not alter or obscure the such proprietary mark or name or logos, or link to them without the Our prior approval of such proprietary mark. All legal rights including intellectual property rights, title and interest in and to this Platform including but not limited to user interface and the applications and codes used to implement this Platform, Services, vests with Us. This Platform contains proprietary and confidential information. You agree that you shall not use such proprietary information and other materials provided or used by this Platform, in any way whatsoever except for use of this Platform and the Service in accordance with these Terms. No portion of this Platform shall be reproduced in any form by you.

9. INDEMNIFICATION

By accepting these Terms and using this Platform and availing the Services, you agree that you shall defend, indemnify and hold Us , our directors, employees, shareholders, officers and other representatives harmless from and against any and all claims, costs, damages, losses, liabilities and expenses ( including attorneys' fees and costs) arising out of or in connection with: (i) your violation or breach of these Terms any applicable law or regulation; (ii) any loss or injury to Our respresentatives resulting from or attributable to your acts or omissions; (iii) misuse of this Platform; (iv) your violation of any rights of any third party; or (vi) any and all third-party claims based upon (A) the content of any communications transmitted by you; and/or (B) transactions undertaken by you.

10. LIMITATION OF LIABILITY

To the maximum extent permitted by law, We shall provide the information relating to the Services without warranties, guarantees or representations. We shall assume no responsibility and shall not be liable for any loss or damage which may affect your computer equipment or other equipment/property arising out of your use of this Platform or access to or browsing of this Platform. We will be not liable to you , under any circumstance whatsoever, for any damages whatsoever (including, without limitation, incidental, reliance, or consequential, or special damages whether or not foreseen, lost profits, or damages resulting from lost data or business interruption) on account of your use, misuse, or reliance on the information relating to Services, provided on this Platform. This limitation of liability shall apply to prevent recovery of direct, indirect, incidental, consequential, special, exemplary, or punitive damages arising from any claim relating to this Terms or the subject matter hereof, whether such claim is based on warranty, contract, tort (including negligence), or otherwise any other legal theory even if We have been advised of the possibility of such damages. We explicitly disclaim any and all liability for any the following: (a) errors, mistakes or inaccuracies of the content displayed on this Platform; (b) personal injury or property damage of any nature whatsoever, resulting from use of this Platform or Services for any alleged or actual damages or loss of valuables; (c) the acts or omissions of our representatives performing Services on our behalf; (d) To the extent possible, We shall take commercially reasonable measures to ensure that the Services are free from defects, errors and security vulnerability by adopting the best practices, nothing contained in this clause warrants or represents to You that We will ensure uninterrupted, error free, completely secure or virus free Services. You hereby agree and acknowledge that Our Services are dependent on third party service providers and We shall not be held responsible for: (i) any delay due to downtime, hacks, maintenance shutdowns, etc. by such third-party service providers and/or (ii) any defect or security vulnerability or breach attributable to a third- party service provider. Upon occurrence of such events, We will take necessary steps to mitigate the same within a reasonable timeframe and keep You notified vide electronic communications. (e) Infurtherancetopoint(d)above,itisherebyclarifiedthatduringsuchevents,anytradesplaced shall not be processed/executed, including (the price at which such trades were placed, etc.) Further, We shall not be liable for any loss of opportunity, loss of profit or any other loss suffered by You during such events, for any reason whatsoever. (f) any loss or damage arising out of your failure to adhere to your obligations under the Terms. (g) User content or the defamatory, offensive, or illegal conduct of any third party with respect to any content on this Platform. You agree not to use this Platform for any commercial or business purposes, and acknowledge that we have no liability to you for any trading loss, loss of profit, loss of business, business interruption or loss of business opportunity, etc. YOU ACKNOWLEDGE AND AGREE THAT THE ENTIRE RISK ARISING OUT OF YOUR USE OF THIS PLATFORM AND/OR AVAILING ANY SERVICES REMAINS SOLELY WITH YOU.

11. LINKING TO THIS PLATFORM

You may link to our home page, provided that you do so in a way that is fair and legal and does not damage our reputation or take advantage of it. You must not establish a link in any such way that suggests a form of association, approval or endorsement with or by Us, where none exists. You must not establish a link to this Platform in any website that does not belong to you. This Platform must not be framed on any other site, nor may you create a link to any part of our Platform other than the home page. We reserve the right to withdraw linking permissions at any time and without notice. The website in which you are linking must comply with these terms of use in all respects. 12. DISCLAIMERS AND WARRANTIES

The content in this Platform is provided to you strictly on an "as is" basis. Notwithstanding anything contained in these Terms, We do not warrant that this Platform: (i) will perform error-free or uninterrupted, or that We will correct all or any errors or defects (ii) will operate in combination with your devices, or with any other hardware, software, systems or data not provided by Us, (iii) will meet your requirements, specifications or expectations, (iv) information/content on this Platform will be updated on a day-to-day basis. We further acknowledge that it does not control the transfer of data over communications facilities, including the internet, and that this Platform may be subject to limitations, delays, and other problems inherent in the use of such communications facilities. Your use of the Services and/or this Platform, includes the ability to enter into agreements and/or to make transactions electronically. You acknowledge that your electronic submissions on this Platform constitute your agreement and intent to be bound by these Terms. You further acknowledge and agree that the entire risk/liability/loss (if any) arising out of your use of this platform and/or availing any services rendered by Algowiz Technologies Pvt Ltd remains solely with you.

13. GENERAL

  1. Kindly take note that Our Services will be functional only from 8 am to 8 pm as a cut-off time ("Operational Hours") and it is Your sole responsibility to trade/utilize Our Platform strictly during the Operational Hours.

  2. All notices served by Us shall be provided via email to Your account or as a general notification on this Platform. Any notice to be provided to Us should be sent to support@fintarget.in

  3. Our failure to enforce any provision of these Terms shall not be deemed a waiver of such provision nor of the right to enforce such provision. Our rights under these Terms shall survive any discontinuance of the access or use of this Platform.

  4. These Terms together with the Privacy Policy published by us on this Platform/Services, shall constitute the entire agreement between you and Us concerning this Platform/Services.

  5. If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.

  6. You cannot assign or otherwise transfer Your obligations under the Terms, or any right granted hereunder to any third party. Our rights under the Terms are freely transferable to any third parties without the requirement of seeking Your consent.

  7. You acknowledge that Your participation on this Platform, does not make You an employee or agency or partnership or joint venture or franchise of Us. 8. We provide these Terms so that You are aware of the terms that apply to your use of the Website/Application and Services. You acknowledge that, We have given You a reasonable opportunity to review these Terms and that You have agreed to them.

14. GOVERNING LAW

These Terms, their subject matter and any non-contractual disputes or claims are governed by the Indian Laws and you agree to the exclusive jurisdiction of the courts of Bengaluru, India. We reserve the right to seek injunctive, or any other equitable relief, in any courts of competent jurisdiction that, in its sole opinion, consider this to be necessary.

16. Cancellation/Refund Policy

Once you made your payments, you can not get or apply for a refund. If you do not want the subscription anymore, and you have initiated a recurring payment, you can cancel your subscription anytime. You will still have access to the subscription until the end of the period you have paid for.

Latency (i.e., delays) within and between your system, between our servers and the broker and the exchanges, as well as those of your broker and the exchanges in which you seeking to affect trades, might cause orders, modifications, and cancels to be placed or not placed in ways that are not desired. You may receive incorrect information, or be unable to get information, about your orders, your positions, or market conditions. These, for example, include providers of data services, computational services, and network connectivity. The operations of these third parties are beyond all of our reasonable control. Regardless of the reason for any failure by your broker, the market in which you seek to have trades executed, or these other third parties, we will not have any liability for any such failure. Accurate and complete real-time price data is critical for the success of automated trading. The systems of these data providers could experience failures, errors, and latency, which could result in missing, incorrect, or stale market data. vii. Malicious and criminal activities might cause your strategy or strategies to fail, or your brokerage account to be compromised. All computers and networks are subject to malicious "hacking" attacks and criminal activities designed to misappropriate intellectual property, compromise personally identifiable information, steal funds, or any combination of such purposes. You agree that you shall not use such proprietary information and other materials provided or used by this Platform, in any way whatsoever except for use of this Platform and the Service in accordance with these Terms. By accepting these Terms and using this Platform and availing the Services, you agree that you shall defend, indemnify and hold Us , our directors, employees, shareholders, officers and other representatives harmless from and against any and all claims, costs, damages, losses, liabilities and expenses ( including attorneys' fees and costs) arising out of or in connection with: (i) your violation or breach of these Terms any applicable law or regulation; (ii) any loss or injury to Our respresentatives resulting from or attributable to your acts or omissions; (iii) misuse of this Platform; (iv) your violation of any rights of any third party; or (vi) any and all third-party claims based upon (A) the content of any communications transmitted by you; and/or (B) transactions undertaken by you.

In addition to the above, the term "Personal Information" is defined under Rule 2(i) of the Information Technology (Reasonable Security Practices & Procedures and Sensitive Personal Data or Information) Rules, 2011 ("SPDI Rules") to mean any information that relates to a natural person, which, either directly or indirectly, in combination with other information available or likely to be available with a body corporate, is capable of identifying such person.
